Directors for CareRx Corporation
Kevin Dalton has over 20 years of capital markets and investment banking experience including having held the position of Vice Chairman, Head of Investment Banking at Desjardins Securities, the brokerage arm of Desjardins Group, the biggest financial institution in Quebec and the largest cooperative financial group in Canada. Prior to joining Desjardins, Mr. Dalton worked at Blackmont Capital, a full-service investment dealer, first serving as Managing Director, Head of Investment Banking and then moving onto the role of President. Mr. Dalton spent 14 years in the investment banking division of CIBC Capital Markets, where he specialized in the technology, media and telecommunications sectors, and served as Managing Director, Head of Canadian Diversified Investment Banking. He began his career at The Hathaway Corporation, a Toronto-based consulting firm that provides clients with expert financial advice on a variety of disciplines, including valuations, fairness opinions and mergers and acquisitions. Mr. Dalton holds a Bachelor of Arts in Honors Business Administration from the University of Western Ontario.
Dr. Jack Shevel
Dr. Jack Shevel has more than 20 years of strategic operations and investment experience in Southern Africa and Europe. Prior to founding Netcare (one of the largest healthcare enterprises outside of the United States), Dr. Shevel practiced as a medical practitioner for nine years before becoming involved in hospital management in 1989. He has since restored several hospitals in distress back to profitability and is internationally recognized for leadership and innovative entrepreneurial expertise. Through Netcare, Dr. Shevel led the South African hospital Industry shift of consolidation and rationalization prompting competitors to follow with a resurgence of the healthcare industry.
Christiane Bergevin is the President of Bergevin Capital, advising infrastructure and energy sector clients. She brings more than 30 years of experience in strategy, project and risk structuring, and financing of resource, transport and infrastructure projects on all continents in addition to experience in the financial sector. As Executive Vice-President, Desjardins Group (Canadian financial cooperative institution) between 2009 and 2015, she led mergers and acquisitions, strategic partnerships and business development. She was also a member of Desjardins Group’s finance and risk management committee. For the 19 years prior to that, Ms. Bergevin held executive positions with SNC-Lavalin Group, a global engineering and construction firm, including managing executive and subsequently President of SNC-Lavalin Capital Inc., its project finance advisory arm. In 2013, she was awarded the ICD.D designation by the Institute of Corporate Directors. Ms. Bergevin currently serves as a director of Yamana Gold Inc. (TSX:YRI). Ms. Bergevin serves as Chair of CareRx Corporation’s Audit Committee.
Peter Brown has over 20 years of investment banking experience in a variety of industries including healthcare services, business services, sporting goods, building products and food processing. Mr. Brown founded NewPoint Capital Partners Inc. in 1997, an independent, mid-market investment banking firm based in Toronto, where he currently serves as Vice-President, Chief Compliance Officer and Director. Prior to founding NewPoint, Mr. Brown was with Gordon Capital and two other investment banks advising on mergers and acquisitions and restructurings for mid-sized companies. Mr. Brown is a director of a number of private companies. He holds a Bachelor of Commerce (Honours) degree from Queen’s University.
Raffaele (Ralph) Desando, CPA
Raflph Desando has been a director of the Company since November 2019. Mr. Desando is Managing Director of Private Investments at Yorkville Asset Management, and has been with the company since its inception in 2010. He is responsible for leading Yorkville’s strategic initiatives to provide clients access to investment opportunities in high quality Canadian healthcare companies. Having served on multiple boards, Mr. Desando has guided clients with their ongoing acquisitions, estate transfers and divestitures. Mr. Desando’s background in tax, completing the in-depth tax program from the Canadian Institute of Chartered Accountants (CICA), as well as assisting the institute with its tax program as a facilitator, has provided him with the background to develop efficient tax strategies, investment vehicles and acquisition structures. Mr. Desando was an instructor at the University of Toronto’s School of Continuing Studies in the area of credit and market risk management. He has also served as a member of the Board of Trustees of the Ontario Motor Vehicle Industry Council Compensation Fund, and as Chair of its Investment Committee. He is currently a member of the Southbridge Healthcare LP Investment committee.
John Ewing, CFA
John Ewing co-founded Ewing Morris & Co. Investment Partners in June 2011, where he currently serves as Chief Investment Officer and portfolio manager of the firm’s Opportunities Fund. Mr. Ewing graduated with distinction from the University of Guelph in 2005 with an Honours Bachelor of Science in Engineering degree and a Minor in Business Administration. Mr. Ewing’s community involvement includes the University of Guelph (investment committee), Beat The Streets Toronto and Scouts Canada.
Matt Hills has had a career in private equity, strategy consulting and investment banking. He is a Managing Director of LLM Capital Partners, a Boston private equity firm. He was the Senior Partner at BG Affiliates (a private equity family office) and previously held positions at The LEK Partnership, Drexel Burnham Lambert and Bain & Company. Mr. Hills has served on the Boards of public and private companies in Canada, the U.S., Israel and the Cayman Islands. Mr. Hills currently serves on the Board of K-Bro Linen (TSX: KBL), funds managed by Basso Capital Management, PHT Chemical International (Advisory Board) and is an appointee of the Governor to the Massachusetts Board of Elementary and Secondary Education. Mr. Hills received an MBA from Harvard Business School and a BA from Brandeis University. Mr. Hills serves as Chair of CareRx Corporation’s Compensation, Governance and Nominating Committee.
Bruce Moody is a seasoned executive with over 38 years of experience that has spanned the specialty pharmacy, retail pharmacy and food sectors. Presently, Mr. Moody serves as the Founder and CEO of Moody Holdings Inc., a private holding company that actively invests in various companies in both Canada and the U.S. In 2006, Mr. Moody founded the Remedy Group of companies, including Remedy’sRx Specialty Pharmacy, which was purchased by CareRx in May 2020. Prior to founding Remedy’s, Mr. Moody was the Senior Vice-President of Operations for PharmaPlus Drugmarts and before that, he served as Chief Operating Officer for Pharmasave Drugs. Mr. Moody has a history of supporting various philanthropic activities.
CEO, CareRx Corporation
David Murphy brings over 12 years of healthcare experience to CareRx. He joined the Company in May 2018 from Cardinal Health, where he served as President of its $1.2 billion Canadian business since 2016. During this time, he led a strategic transformation of the Canadian organization, which included integration of the Patient Recovery business purchased from Medtronic. Previously, Mr. Murphy was President of the Canadian division of Stryker from 2008 to 2016. Under his leadership, the organization strengthened its market leadership position, improved operating margins and earned consistent recognition as a top Canadian employer and workplace. Mr. Murphy holds MBA and LL.B. degrees from the University of Toronto.
Dr. Lyle Oberg
Lyle Oberg, a physician by profession, has been Director of the Company since November 2019. Dr. Oberg is a Member of the Board of Directors of Yorkville Asset Management since 2018. He is a Director of The Flowr Corporation and previous Director of Olympia Trust Company. He was first elected to the Legislative Assembly of Alberta as a Progressive Conservative in 1993. He was first appointed to the Alberta Cabinet in 1997. He has held numerous positions within the Alberta Government, including Minister of Social Services (1997-1999), Minister of Learning (1999-2005), Minister of Infrastructure and Transportation (2005-2006) and Minister of Finance (2006-2008).
Darren Youngleson has more than 25 years of business experience as a principal, director and executive in public and private market companies across industries, focusing on healthcare and real estate.
His areas of involvement as a corporate finance executive have been primarily on business strategy, corporate finance, mergers and acquisitions, corporate development, private equity & investor relations.
Darren’s career included nine years as the head of M&A, Corporate Finance & Investor Relations with Netcare Limited, a healthcare services company with operations in South Africa and the United Kingdom and thereafter a partner in Global Healthcare Investments and Solutions, a global healthcare investment and advisory company.
Darren holds Bachelor of Commerce and Bachelor of Accountancy degrees from the University of the Witwatersrand, an MBA from Edinburgh Business School and was a member of the Public Accountants and Auditors Board and Chartered Accountant (SA).
Darren is a Principal of Magna Legacy Partners and serves as an advisor and on the Boards of select companies.
